User Agreement & Use Policy

1. Introduction

This User Agreement and Use Policy ("Agreement") outlines the terms and conditions under which you ("user," "you," or "your") may access or use the Pari platform (the "Platform"), operated by Pari Finance Inc. ("Pari," "we," "our," or "us"). By creating an account or using our Platform, you agree to abide by this Agreement in its entirety.

2. Eligibility

  1. Minimum Age: You must be at least 18 years old, or the age of majority in your jurisdiction, whichever is higher, to use the Platform.

  2. Legal Capacity: By using Pari, you represent and warrant that you have the legal capacity to enter into a binding agreement.

  3. Compliance with Laws: You agree to comply with all applicable laws, rules, and regulations when using the Platform.

3. Scope of Use

  1. Private Lending Among Family and Friends: The Platform is intended solely for peer-to-peer lending among individuals who already have a personal relationship. It is not designed for general public use, commercial financing, or lending to strangers.

  2. Account Security: You are responsible for maintaining the confidentiality of your login credentials. All activities under your account are your responsibility.

  3. User Content: Any information, data, or materials you provide to Pari must be accurate and up to date.

4. Prohibited Activities

While using the Platform, you agree not to:

  1. Engage in Fraud: Falsely represent your identity, financial information, or intent to repay loans.

  2. Violate Laws: Use the Platform in a manner that violates any local, state, federal, or international laws, including those related to money laundering or tax evasion.

  3. Abuse the Platform: Attempt to harm, disrupt, or overload our servers or security features.

  4. Harass Others: Post or transmit content that is harassing, defamatory, threatening, or otherwise harmful to other users.

5. Loan Terms & Conditions

  1. Loans Are Private Agreements: All loan terms are negotiated and agreed upon directly between the lending and borrowing parties.

  2. No Pari Guarantee: Pari does not guarantee or insure the performance of any loan, nor does it facilitate debt collection.

  3. Interest Rates & Usury Laws: Users acknowledge that private loans among friends and family may be subject to or exempt from usury regulations, depending on the jurisdiction. You are responsible for ensuring compliance with relevant state and federal laws, including any interest rate caps.

6. User Liabilities

  1. Financial Obligations: You are solely responsible for fulfilling your financial obligations on any loan you arrange through the Platform.

  2. Tax Reporting: You are also responsible for reporting any interest income or other tax liabilities arising from your use of the Platform.

  3. Indemnification: You agree to indemnify and hold Pari harmless from any liability, claim, or expense arising out of or related to your financial transactions or legal obligations.

7. Data Usage & Privacy

  1. Data Collection: By using the Platform, you grant Pari the right to collect, store, and process personal and financial information in accordance with our Privacy Policy.

  2. Open Banking Access: You consent to our accessing and sharing certain banking data via open banking integrations, which may include account balances, transaction histories, or other relevant data.

  3. Data Ownership: Pari reserves the right to use aggregated, anonymized data derived from user activity for analytics, platform improvements, and compliance purposes.

8. Intellectual Property

  1. Ownership: All content, trademarks, service marks, and logos on the Platform are the property of Pari or its licensors.

  2. Limited License: We grant you a non-exclusive, non-transferable license to access the Platform for your personal, non-commercial use.

  3. Restrictions: You may not reproduce, modify, or distribute any Platform content without our prior written consent.

9. Termination

  1. Termination by User: You may close your account at any time by following the instructions on the Platform.

  2. Termination by Pari: We reserve the right to suspend or terminate your account if we suspect you have violated this Agreement, engaged in illegal activity, or otherwise acted in a manner detrimental to the Platform.

  3. Effects of Termination: Upon termination, your right to use the Platform ceases immediately. Sections regarding liabilities, indemnification, and intellectual property survive termination.

10. Dispute Resolution

  1. Arbitration: Any disputes or claims arising from this Agreement will be resolved by binding arbitration in Delaware, USA, in accordance with Delaware Laws.

  2. Governing Law: This Agreement is governed by the laws of Delaware, USA.

11. Amendments

Pari may update this Agreement from time to time at its sole discretion. You will be notified of significant changes, and continued use of the Platform indicates your acceptance of the updated Agreement.
